Terms of Service — Local Pros Business Network

Welcome to Local Pros Business Network ("LPBN," "we," "us," or "our"), operated by Local Pros Business Network LLC, a Florida business with a mailing address at 10710 Estates Del Sol Dr, Riverview, FL 33579. These Terms of Service ("Terms") govern your access to and use of the LPBN website (LPBN.us), shared monthly postcard, directory, feedback system, newsletter, perks, events, referral program, and related online and offline services (collectively, the "Service"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

Important: These Terms include a binding individual arbitration agreement and class-action waiver in Section 17. Please read it carefully.

1. Who we are

LPBN is a local advertising and community network for South Shore Hillsborough County homeowners and the home-service professionals who serve them. We connect neighbors with featured local professionals through a shared monthly postcard, an online directory, neighbor feedback, perks, community events, and a referral rewards program. LPBN is an advertising and community-engagement service — we are not a contractor, broker, employer, agent, joint venturer, partner, or fiduciary of any featured pro.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account, submit feedback, submit a lead, or participate in the referral program. The Service is not directed to children under 13, and we do not knowingly collect information from children. By using the Service, you represent that you meet these requirements.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@lpbn.us if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

4. Consumer feedback

Feedback you submit must be honest, based on a real interaction with the featured pro, and your own original words. You grant LPBN a perpetual, irrevocable, non-exclusive, royalty-free, worldwide, sublicensable license to publish, display, edit for clarity and length, excerpt, translate, and use your feedback, username, display name, and any uploaded photos in our directory, newsletters, postcards, social channels, and marketing materials, in any media now known or later developed. You represent that you own or have the rights to all content you submit and that it does not infringe any third-party rights. We may reject, remove, or unpublish feedback that is fraudulent, defamatory, off-topic, or violates these Terms.

5. Photo & likeness release

If you upload photos that include people (yourself, household members, or third parties), you represent that you have obtained any necessary permissions and releases from those individuals. You grant LPBN the rights described in Section 4 with respect to those photos and any recognizable likenesses they contain. Do not upload photos of minors without parental consent.

6. Points, tiers, and referrals

Points are awarded for approved feedback and other community contributions at our discretion.
Points and tier status have no cash value, are non-transferable, are not securities, and may be adjusted, expired, suspended, or revoked at any time, including for fraud, abuse, or program changes.
Referral commissions are credited only after a featured pro marks the referred lead as contacted in good faith.
We may modify the points system, tier thresholds, perks, or commission rates at any time with reasonable notice.

7. Featured pros & homeowner due diligence

Featured local professionals are independent businesses, not employees, agents, or partners of LPBN. LPBN does not perform the services advertised, does not guarantee the work of any pro, and is not a party to any contract between you and a pro.

It is the homeowner's sole responsibility, before hiring any company listed in or contacted through LPBN, to independently verify that the company holds all required licenses, certifications, bonding, general liability insurance, workers' compensation coverage, and any other credentials required by Florida law and local ordinances for the work being performed. LPBN does not screen, audit, monitor, or continuously re-verify any pro's license status, insurance coverage, criminal background, or financial standing. License and insurance status can change at any time without notice to LPBN.

Recommended verification steps include, at a minimum: (a) requesting a current Certificate of Insurance ("COI") naming you as a certificate holder, (b) confirming license status with the Florida Department of Business & Professional Regulation (DBPR) or other applicable licensing authority, (c) obtaining a written, itemized estimate before work begins, and (d) checking references and recent reviews. By using the Service, you acknowledge and agree that you assume full responsibility for performing this verification and that LPBN bears no liability for your failure to do so.

8. Lead submissions & communication consent (TCPA)

When you submit a lead through the Service, you consent to LPBN sharing your name, contact information, project details, and any attachments with the featured pro you selected so that they can respond.

By submitting a lead, providing a phone number, or otherwise requesting contact, you expressly consent to receive communications from LPBN and the selected featured pro by phone call, SMS/text message, and email — including communications sent using an automatic telephone dialing system, an artificial or prerecorded voice, or autodialed text messages — at the number(s) and email address(es) you provide. Consent is not a condition of any purchase. Message and data rates may apply. Message frequency varies. You may opt out of SMS at any time by replying STOP to any text. You may opt out of marketing emails using the unsubscribe link in any newsletter. See our SMS Consent & Communication Policy for full details.

9. What pros pay for: exposure, not leads

Featured pros pay LPBN a flat-rate fee for advertising exposure to the local community — placement on our shared monthly postcard, a listing in our directory, and inclusion in our newsletter and related promotional channels. LPBN does not sell leads, does not act as a lead-generation broker, and makes no guarantee or representation regarding the number, quality, conversion rate, revenue, or return on investment of any inquiries a pro may receive.

Lead and customer outcomes depend on factors outside LPBN's control, including the pro's responsiveness, pricing, reputation, service area, seasonality, and overall market demand. Fees paid for participation are for advertising exposure already delivered and are non-refundable based on lead volume or business outcomes, except as expressly stated in the Vendor Participation Terms.

10. Prohibited conduct

Submitting false, misleading, paid-for, or incentivized feedback.
Attempting to manipulate points, tiers, raffle entries, or referral commissions.
Scraping, reverse-engineering, framing, or interfering with the Service or its security.
Using the Service to harass, defame, threaten, stalk, or violate the rights of others.
Uploading malware, illegal content, sexually explicit content, or content you do not have rights to share.
Using contact information obtained through LPBN for any purpose other than the specific transaction it was provided for.

11. Intellectual property & DMCA

The LPBN name, logo, postcard design, website design, directory compilation, and original content are owned by LPBN and protected by U.S. and international intellectual property laws. We respect the intellectual property rights of others and respond to valid notices under the Digital Millennium Copyright Act. To submit a takedown notice or counter-notice, see our DMCA Policy.

12. Sweepstakes & raffles

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. LPBN DOES NOT WARRANT THAT ANY FEATURED PRO WILL MEET YOUR EXPECTATIONS, AND IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, TIMELINESS, OR LEGALITY OF SERVICES PERFORMED BY ANY PRO. LPBN MAKES NO WARRANTY OR GUARANTEE THAT ANY ADVERTISING PARTICIPATION WILL RESULT IN ANY SPECIFIC NUMBER OF LEADS, CUSTOMERS, REVENUE, OR BUSINESS OUTCOME. ANY DECISION TO HIRE A PRO IS MADE SOLELY BY THE HOMEOWNER AT THE HOMEOWNER'S OWN RISK.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LPBN AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR YOUR INTERACTION WITH ANY FEATURED PRO. OUR TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS WILL NOT EXCEED THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS ($100) OR (b) THE AMOUNT YOU PAID LPBN IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless LPBN and its owners, officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your feedback or other content, your use of the Service, your interaction with any featured pro, or your violation of these Terms or any law.

16. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to the arbitration provision below, exclusive venue for any dispute lies in the state or federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction there.

17. Binding individual arbitration & class-action waiver

Please read this section carefully — it affects your legal rights. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") that cannot be resolved informally within 30 days of written notice will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that you may bring qualifying claims in small-claims court. The arbitration will be conducted in Hillsborough County, Florida, or remotely, and the arbitrator's decision will be final and enforceable in any court of competent jurisdiction.

Class-action waiver. You and LPBN agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

30-day right to opt out. You may opt out of this arbitration agreement by emailing info@lpbn.us within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and including your full name and the email on your account. Opting out will not affect any other provision of these Terms.

If any portion of this Section 17 is found unenforceable, the remaining portions will remain in full force, except that if the class-action waiver is found unenforceable, the entire Section 17 is void and Disputes will proceed in court under Section 16.

18. Changes

We may update these Terms from time to time. Material changes will be announced on the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
