These Vendor Participation Terms ("Vendor Terms") govern the relationship between Local Pros Business Network ("LPBN"), operated by Local Pros Business Network LLC, and any home-service business ("Vendor," "you") that pays to be featured in LPBN's shared postcard, directory, newsletter, or related advertising channels. These Vendor Terms are in addition to, and incorporated into, the LPBN Terms of Service. If there is a conflict between these Vendor Terms and the general Terms of Service, these Vendor Terms control with respect to the Vendor relationship.
1. Independent contractor; no agency
Vendor is an independent business. Nothing in these Vendor Terms creates an employment, agency, joint venture, partnership, franchise, or fiduciary relationship between Vendor and LPBN. LPBN does not control, supervise, or perform the work Vendor delivers, and Vendor has no authority to bind LPBN to any obligation.
2. What you're paying for: exposure, not leads
The flat-rate participation fee purchases advertising exposure — postcard slot, directory listing, and newsletter inclusion — for the period stated in your invoice. LPBN does not sell leads, does not act as a lead-generation broker, and does not guarantee any number, quality, conversion rate, revenue, or return on investment from any inquiries you may receive. Lead outcomes depend on factors outside LPBN's control including your responsiveness, pricing, reputation, and seasonality. Fees are non-refundable based on lead volume or business outcomes once advertising has been delivered.
3. Vendor eligibility & representations
By participating, Vendor represents and warrants on a continuing basis that:
- Vendor holds, and will maintain, all licenses, certifications, bonding, general liability insurance, and workers' compensation coverage required by Florida law and local ordinance for every service Vendor offers.
- Vendor will provide LPBN with a current Certificate of Insurance on request and will notify LPBN within 5 business days if any license or insurance lapses, is suspended, or is revoked.
- All claims, photos, testimonials, and credentials Vendor provides for use in LPBN advertising are truthful, accurate, and substantiated.
- Vendor owns or has the right to use any logos, images, and content Vendor provides, and grants LPBN a royalty-free license to use them in LPBN advertising for the participation period and reasonable archival purposes thereafter.
4. Slot allocation, exclusivity, and design
Postcard slot assignment, category exclusivity (where offered), design specifications, and submission deadlines are described in the participation invoice or order form. Missed design deadlines may result in a default placeholder, an LPBN-prepared design, or forfeiture of that month's placement at LPBN's discretion, without refund.
5. Lead handling & conduct
Vendor agrees to:
- Respond to every lead in good faith, typically within 24 hours.
- Mark each lead as "contacted" in the vendor portal once outreach is made.
- Use lead contact information only for the specific inquiry it was provided for. Do not add lead contacts to marketing lists, sell or transfer them, or contact them for unrelated services without separate consent.
- Comply with all applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, the Florida Telemarketing Act, and Florida Do-Not-Call rules.
- Honor any quoted price, promotion, or coupon advertised through LPBN for the period stated.
6. No-poaching of LPBN-sourced leads
Vendor will not knowingly bypass the LPBN platform to solicit consumers who first contacted Vendor through LPBN for the purpose of avoiding the relationship with LPBN, nor will Vendor pay third parties to do so on Vendor's behalf.
7. Feedback & complaints
Vendor acknowledges that consumer feedback (positive, neutral, and negative) will be displayed publicly once moderated. LPBN does not remove feedback solely because it is unflattering. Vendor may publicly reply to feedback through the vendor portal in a professional, factual manner. Vendor may flag feedback that is false, defamatory, or violates the Terms of Service for moderator review.
Repeated complaints, unresolved disputes, or evidence of fraud may result in temporary suspension, downgrade of vendor status, or removal from the network at LPBN's discretion, with no refund of remaining participation fees in cases of material breach.
8. Suspension & termination
LPBN may suspend or terminate Vendor's participation, with or without refund, for any of the following:
- License or insurance lapse, suspension, or revocation.
- Material misrepresentation in advertising or vendor profile.
- Pattern of unresponsiveness to leads or unresolved consumer complaints.
- Violation of these Vendor Terms, the Terms of Service, or applicable law.
- Conduct that reasonably damages the reputation of LPBN or the community.
Vendor may cancel future participation by written notice before the next mailer's print deadline. Fees already paid for delivered advertising are non-refundable.
9. Indemnification
Vendor will defend, indemnify, and hold harmless LPBN and its owners, officers, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Vendor's services, advertising claims, conduct, lead handling, license or insurance status, or violation of these Vendor Terms or any law.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LPBN'S TOTAL CUMULATIVE LIABILITY TO VENDOR FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE VENDOR TERMS WILL NOT EXCEED THE FEES VENDOR PAID TO LPBN IN THE THREE MONTHS IMMEDIATELY PRECEDING THE CLAIM. LPBN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, OR GOODWILL.
11. Dispute resolution
Disputes between Vendor and LPBN are governed by Florida law and the binding individual arbitration and class-action waiver provisions in Section 17 of the Terms of Service, which apply to the Vendor relationship.
12. Changes
LPBN may update these Vendor Terms with reasonable notice. Continued participation after the effective date constitutes acceptance.
